FFAIR Supplier Platform Terms

These Supplier Platform Terms apply to any supplier that uses the FFAIR platform to offer, sell or provide goods or services to exhibitors or organisers.
By clicking to accept these terms, or by uploading products, connecting a payment account, receiving payments or otherwise using the supplier functionality within the FFAIR platform, you agree to be bound by these Supplier Platform Terms.
1. Role of FFAIR
FFAIR provides a technology platform that enables organisers and exhibitors to purchase goods and services from suppliers.FFAIR is not the seller of any goods or services offered through the platform. FFAIR acts as a technology provider and sales agent only.
2. Supplier status and seller of record
By using the FFAIR platform as a supplier, you acknowledge and agree that:
• you are the seller of record for any goods or services you offer through the platform
• you contract directly with the customer purchasing your goods or services
• you are responsible for fulfilling all orders in accordance with agreed terms
Where the organiser offers goods or services to exhibitors, the organiser acts as the seller of record for those goods or services. These Supplier Platform Terms apply to organisers only where they are using the platform in a supplier capacity.
3. Product and pricing responsibility
You are responsible for ensuring that all product or service information you provide through the platform is accurate, complete and up to date, including descriptions, specifications, pricing, availability and delivery or performance timelines.
You must ensure that prices displayed through the platform are correct and that any applicable taxes are properly applied.
4. VAT, sales tax and tax responsibility
You are solely responsible for determining whether VAT, sales tax or any other indirect tax applies to your goods or services and for applying the correct tax treatment and rate.
You are responsible for all tax related obligations arising from your use of the platform, including any registration requirements, invoicing obligations, reporting and remittance of taxes to the relevant tax authorities.
FFAIR may generate invoices and process payments on your behalf using integrated payment providers. FFAIR does not provide tax advice and does not verify the accuracy of any tax treatment applied to invoices generated on your behalf.
Where automated tax calculation tools or third party tax determination services are used, these are provided for convenience only and rely on information supplied by you. You acknowledge that FFAIR does not guarantee the accuracy of any automated tax calculation.
5. Tax indemnity
You agree to indemnify and hold harmless FFAIR from and against any and all losses, liabilities, penalties, interest, costs and expenses arising out of or in connection with:
• any incorrect determination, classification or application of VAT, sales tax or other indirect tax in relation to your goods or services
• any failure by you to register for VAT or sales tax where required
• any failure to account for, report or remit VAT or sales tax to the relevant tax authority
• any claim, assessment, audit or enforcement action by a tax authority relating to your tax obligations
This indemnity applies regardless of whether FFAIR generated invoices, processed payments or applied automated tax calculations on your behalf.
6. Payments and payment providers
Payments for your goods or services may be processed through third party payment providers integrated with the FFAIR platform.
You agree to comply with the terms of any payment provider used in connection with the platform, including Stripe Connect where applicable.
FFAIR is not responsible for delays, errors or interruptions caused by payment providers.
7. Compliance with laws
You must comply with all applicable laws and regulations in connection with your use of the platform, including consumer protection, product safety, event regulations and tax laws.
8. Suspension or removal
FFAIR may suspend or remove your access to the platform where you breach these Supplier Platform Terms, where unlawful activity is suspected, or where required to comply with legal obligations.
Suspension or removal does not affect obligations that have already arisen.
9. Changes to these terms
FFAIR may update these Supplier Platform Terms from time to time.
Where changes are material, reasonable notice will be provided. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
10. Governing law
These Supplier Platform Terms are governed by the laws of England and Wales.
